GENERAL TERMS AND CONDITIONS


1. Definitions

In these general terms and conditions, the following is understood to mean:

1. VISE Logistics BV: the private limited liability company, incorporated in Hoofddorp, hereinafter referred to as “VISE”.

2. Client: any natural person or legal entity that enters into an agreement with VISE.

3. Agreement: any agreement between VISE and the Client concerning transport, storage or other logistics services.

4. Services: all activities offered by VISE, including transport, distribution, storage, transshipment, and logistical support.


2. Applicability

1. These General Terms and Conditions apply to all quotations, agreements, and deliveries of VISE, unless otherwise agreed in writing.

2. The General Transport Conditions 2002 (AVC 2002) also apply to transport by road within the Netherlands.

3. The CMR Convention applies to cross-border road transport.

4. The Fenex conditions apply to sea and air freight shipments, as well as to storage and forwarding.

5. In the event of a conflict between these terms and the stated conditions, the latter specific transport conditions shall prevail.



3. Quotations and conclusion of the agreement

1. All quotations from VISE are without obligation, unless expressly stated otherwise.

2. An agreement is concluded after VISE has confirmed the order in writing or has commenced execution.

3. Changes or additions are only valid if confirmed in writing by VISE.


4. Obligations of the Client

1. The Client is obliged to provide all information, documents, and instructions necessary for proper execution in a timely manner.

2. The Client guarantees the accuracy of the information provided by or on his behalf.

3. The client must present the goods properly packaged, marked, and accompanied by all required documents.


5. Performance of the services

1. VISE will perform the agreement to the best of its knowledge and ability, in accordance with the requirements of good workmanship.

2. Delivery or transport times are indicative only, unless otherwise agreed in writing.

3. VISE is entitled to engage third parties in the performance of its activities.


6. Liability

1. VISE is insured up to €2,000,000 per event for damage arising from transport.

2. The liability of VISE is limited to what is provided in the applicable AVC, CMR or Fenex conditions.

3. VISE is not liable for indirect damages, consequential damages, or lost profits.

4. Any claim shall lapse if no written complaint is made within one month of discovery.


7. Force Majeure

In the event of force majeure, VISE is entitled to suspend its obligations or to dissolve the agreement in whole or in part, without being liable for compensation.


8. Payment

1. Payment must be made within 30 days of the invoice date, unless otherwise agreed.

2. In the event of exceeding the payment term, the Client shall be in default by operation of law and statutory (commercial) interest shall be due.

3. All collection costs shall be borne by the client.


9. Storage and retention periods

1. Goods taken into storage by VISE are stored subject to the Fenex conditions.

2. If the Client fails to take delivery of the goods within the agreed period, VISE is entitled to charge storage costs and other fees.


10. Applicable law and competent court

1. All legal relationships between VISE and the Client are governed exclusively by Dutch law.

2. Disputes shall be submitted to the competent court in Rotterdam, unless mandatory law prescribes otherwise.


11. Final provision

1. If any provision of these terms and conditions proves to be null and void or voidable, the remaining provisions shall remain in full force and effect.

2. VISE is entitled to amend these terms and conditions; the amended terms and conditions apply from the date of publication on the website.


The general terms and conditions of VISE Logistics BV apply to all our services and deliveries. For road transport, the AVC 2002 and/or the CMR Convention apply; for sea and air freight and warehousing, the Fenex conditions apply.
