TERMS & CONDITIONS
1. Definitions
In these terms and conditions, the following definitions apply:
- VISE Logistics B.V.: the private limited liability company incorporated under Dutch law, with its registered office in Hoofddorp, hereinafter referred to as “VISE”. - Client: any natural or legal person entering into an agreement with VISE.
- Agreement: any agreement between VISE and the Client relating to transport, warehousing or other logistics services.
- Services: all activities offered by VISE, including but not limited to transport, distribution, storage, transshipment and logistics support.
2. Applicability
1. These terms and conditions apply to all quotations, offers, agreements and deliveries by VISE, unless expressly agreed otherwise in writing.
2. For domestic road transport within the Netherlands, the “General Transport Conditions 2002 (AVC 2002)” apply.
3. For international road transport, the “Convention on the Contract for the International Carriage of Goods by Road (CMR)” applies.
4. For sea and air freight shipments, as well as storage and forwarding, the “Fenex Conditions” apply.
5. In case of conflict between these terms and the aforementioned conditions, the latter shall prevail.
3. Quotations and Conclusion of Agreement
1. All quotations issued by VISE are non-binding, unless explicitly stated otherwise.
2. An agreement is concluded once VISE has confirmed the order in writing or has commenced execution thereof.
3. Any amendments or additions shall only be valid if confirmed in writing by VISE.
4. Obligations of the Client
1. The Client shall provide all information, documentation and instructions necessary for proper execution of the services in due time.
2. The Client guarantees the accuracy and completeness of the information provided.
3. The Client shall ensure that goods are properly packed, labeled, and accompanied by all required documents.
5. Execution of Services
1. VISE shall perform the agreement to the best of its ability and in accordance with professional standards.
2. Delivery or transport times are indicative only, unless otherwise agreed in writing.
3. VISE is entitled to engage third parties in the execution of its services.
6. Liability
1. VISE maintains insurance coverage up to EUR 2,000,000 per incident for transport-related damages.
2. VISE’s liability is limited to the provisions of the applicable AVC, CMR or Fenex Conditions.
3. VISE shall not be liable for indirect or consequential damages, loss of profit or immaterial loss.
4. Any claim shall lapse if not reported in writing within one month after discovery of the damage.
7. Force Majeure
In the event of force majeure, VISE shall be entitled to suspend its obligations or to dissolve the agreement in whole or in part, without being liable for damages.
8. Payment
1. Payment shall be made within 30 days of the invoice date, unless otherwise agreed.
2. In case of late payment, the Client shall be in default by operation of law and statutory (commercial) interest shall be due.
3. All collection costs, both judicial and extrajudicial, shall be borne by the Client.
9. Storage and Retention Periods
1. Goods stored by VISE shall be kept under the Fenex Conditions.
2. If the Client fails to collect the goods within the agreed period, VISE shall be entitled to charge storage and handling costs.
10. Applicable Law and Jurisdiction
1. All legal relationships between VISE and the Client shall be governed exclusively by Dutch law.
2. Any disputes shall be submitted to the competent court in Rotterdam, the Netherlands, unless mandatory law provides otherwise.
11. Final Provisions
1. Should any provision of these terms be null or void, the remaining provisions shall
remain in full force and effect.
2. VISE reserves the right to amend these terms unilaterally; the amended terms shall take effect upon publication on the VISE website.
All our services and deliveries are subject to the General Terms and Conditions of VISE Logistics B.V.
For road transport, the AVC 2002 and/or the CMR Convention apply; for sea and air freight and warehousing, the Fenex Conditions apply.
